HuFriedyGroup Agrees to Acquire Mectron’s Dental Business

HuFriedyGroup has signed a framework agreement to acquire the dental business of Mectron S.p.A., adding piezoelectric bone-surgery, ultrasonic-scaling and air-polishing technology to its global dental portfolio. Financial terms were not disclosed.

The proposed transaction includes Mectron’s dental business in Italy, its German subsidiary excluding medical activities, and the dental activities of Piezosurgery Inc. in Columbus, Ohio. Mectron’s dental-focused commercial and research-and-development teams would also join HuFriedyGroup.

The companies expect the transaction to close by the end of 2026, subject to required procedures and customary conditions. Until then, they will operate independently. Mectron will retain its medical business, while its Carasco, Italy, facility is expected to continue manufacturing the dental product range for HuFriedyGroup under a multiyear supply agreement.

The acquisition would deepen a relationship that began in 2023, when HuFriedyGroup started distributing Mectron-manufactured scaling and air-polishing equipment in the United States and Canada.

Why it matters

This is more than a distributor buying a product line. It moves HuFriedyGroup further from its historical center of gravity in instruments, infection prevention and clinical workflow products toward a broader equipment-and-technology portfolio spanning prevention, implantology and oral surgery.

For dental practices and DSOs, that can simplify procurement, education and support across instruments and powered equipment. It can also increase dependence on a smaller number of strategic suppliers. Buyers should evaluate portfolio breadth against service quality, consumable economics, repair support, training and the ability to preserve choice across equipment categories.

The deal also shows how established dental suppliers can use acquisitions to expand into differentiated clinical technology without building hardware, intellectual property and specialist R&D teams from scratch. That consolidation dynamic sits alongside the fragmented market described in Avized’s 2026 dental technology market map.

Mectron brings a long-standing position in piezoelectric surgery and ultrasonic devices. Those technologies fit the treatment-planning, surgical and digital-workflow layer covered in Avized’s dental clinical-intelligence software and technology buyer’s guide. The strategic question is whether HuFriedyGroup can turn a broader catalog into more connected clinical workflows rather than simply a larger collection of products.

HuFriedyGroup is backed by an affiliate of Peak Rock Capital, which acquired the business from STERIS in 2024. The Mectron agreement is therefore also a portfolio-expansion move inside a private-equity-owned dental supplier, with distribution reach in approximately 100 countries.

What to watch next

Closing and final scope. The companies announced a framework agreement, not a completed acquisition. Final closing and any changes to the included entities should be verified before treating the dental business as transferred.

Manufacturing continuity. Mectron’s Italian facility is expected to remain the manufacturer under a multiyear agreement. Practices and distributors should watch for changes in product availability, lead times, service and quality systems after closing.

U.S. distribution. HuFriedyGroup already distributes selected Mectron-made equipment in the United States and Canada. The next signal will be whether it broadens the product range, sales coverage or bundled purchasing programs.

R&D integration. The transaction includes dental-focused research and commercial teams. Future launches will show whether the combined organization develops integrated workflows across instruments, equipment and consumables or mainly extends distribution.

Pricing and supplier concentration. No transaction value or customer pricing changes were disclosed. DSOs should monitor contract terms, equipment-service commitments and consumable economics as the portfolio expands.

The transaction is best understood as supplier-platform consolidation: HuFriedyGroup is using Mectron’s dental business to add clinically differentiated equipment and technical expertise to an already broad global distribution base. Its importance will depend on execution after closing, not portfolio size alone.
